ACCEPTANCE OF TERMS
These Terms of Service ("Terms") govern your access to and use of the Vertex Fabrication Canada website located at vertexfabricationcanada.com (the "Site"), as well as any products, services, or communications provided by Vertex Fabrication Canada ("Vertex," "we," "us," or "our").
By accessing the Site, submitting a contact or inquiry form, requesting a quote, or entering into any business arrangement with Vertex Fabrication Canada, you ("Client," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you must not use this Site or engage with our services.
DESCRIPTION OF SERVICES
Vertex Fabrication Canada provides advanced manufacturing services including but not limited to:
- Carbon-fibre reinforced component production
- Functional product design and engineering
- Rapid prototyping and iteration
- Small-batch manufacturing runs
- Material and structural optimization
- Lattice structure development and stress testing
All services are subject to availability, technical feasibility, and mutual agreement between Vertex Fabrication Canada and the Client. Vertex reserves the right to decline any project at its sole discretion.
Vertex Fabrication Canada operates from North Bay, Ontario, Canada and serves clients domestically and internationally, subject to applicable trade and export regulations.
QUOTES, ORDERS & PROJECT AGREEMENTS
All quotations provided by Vertex Fabrication Canada are estimates based on information provided at the time of inquiry. Quotes are not binding until confirmed in writing by both parties.
- Quotes are valid for 30 days from the date of issue unless otherwise stated in writing
- Changes to project scope, materials, quantities, or timelines after quote acceptance may result in revised pricing
- A written project agreement or purchase order is required before production begins on any engagement
- Vertex reserves the right to request a deposit before commencing work — deposit requirements will be outlined in the project agreement
- Cancellations after production has commenced may incur fees to cover materials and labour already expended
Clients are responsible for providing accurate and complete specifications, drawings, and technical requirements. Vertex Fabrication Canada is not liable for errors or defects resulting from incomplete or inaccurate information provided by the Client.
PAYMENT TERMS
Payment terms are as agreed in the project agreement. Unless otherwise specified in writing:
- Invoices are due within 30 days of the invoice date
- Late payments may be subject to interest at a rate of 1.5% per month (18% per annum)
- Vertex Fabrication Canada reserves the right to suspend or terminate services for accounts with outstanding balances
- All prices are in Canadian dollars (CAD) unless otherwise specified
- Applicable taxes (GST/HST) will be added to all invoices as required by Canadian law
Vertex Fabrication Canada does not store payment card information. Payments processed through third-party platforms are subject to those platforms' terms and privacy policies.
INTELLECTUAL PROPERTY
All content on the Site — including but not limited to text, images, logos, brand assets, layout, and design — is the property of Vertex Fabrication Canada and is protected under applicable Canadian and international intellectual property laws.
You may not reproduce, distribute, modify, or create derivative works from any Site content without prior written permission from Vertex Fabrication Canada.
With respect to project work:
- Any designs, drawings, tooling, processes, or methodologies developed independently by Vertex Fabrication Canada remain the intellectual property of Vertex Fabrication Canada
- Client-supplied designs and specifications remain the property of the Client
- Ownership of jointly developed intellectual property will be defined in the individual project agreement
- Vertex Fabrication Canada may reference completed projects for portfolio or promotional purposes unless the Client has requested confidentiality in writing
CONFIDENTIALITY
Vertex Fabrication Canada understands that clients may share sensitive technical, commercial, or strategic information during the course of an engagement. We treat all such information with professional discretion.
Where a mutual non-disclosure agreement (NDA) or confidentiality clause is required, Vertex Fabrication Canada will engage in good faith to execute appropriate agreements prior to the sharing of proprietary information.
Absent a signed NDA, information shared through the contact form or general inquiry process is not automatically treated as confidential. Clients requiring formal confidentiality protections should request an NDA before disclosing sensitive details.
LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Vertex Fabrication Canada shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or Site, including but not limited to loss of revenue, loss of data, or business interruption.
Vertex Fabrication Canada's total liability to any Client for any claim arising out of or related to our services shall not exceed the total amount paid by that Client for the specific service giving rise to the claim.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.
WARRANTY & QUALITY
Vertex Fabrication Canada takes quality seriously. We stand behind our work and will address legitimate defects or non-conformances that are reported within a reasonable timeframe after delivery.
- Clients must inspect delivered goods promptly upon receipt
- Defect claims must be submitted in writing within 14 days of delivery
- Vertex will investigate reported defects and, at its discretion, repair, replace, or credit the affected work
- Warranty does not cover damage caused by misuse, modification, or failure to follow handling guidelines
The Site and any information provided on it are offered "as is" without warranty of any kind. Vertex Fabrication Canada does not warrant that the Site will be uninterrupted, error-free, or free of harmful components.
DATA & PRIVACY
When you submit a contact form, request a quote, or otherwise communicate with Vertex Fabrication Canada, you provide us with personal information such as your name, email address, and the content of your message.
We use this information solely to:
- Respond to your inquiries and communications
- Provide and administer the services you have requested
- Maintain records required for legitimate business operations
- Comply with applicable legal obligations

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising out of or in connection with these Terms or our services shall first be addressed through good-faith negotiation between the parties. If a resolution cannot be reached within 30 days, the parties agree to submit the dispute to mediation before pursuing litigation.
Any legal proceedings not resolved through mediation shall be brought exclusively in the courts of the Province of Ontario, and both parties consent to the jurisdiction of such courts.
CHANGES TO THESE TERMS
Vertex Fabrication Canada reserves the right to update or modify these Terms at any time. Changes will be posted on this page with an updated effective date. It is your responsibility to review these Terms periodically.
Continued use of the Site or our services after changes have been posted constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you should discontinue use of the Site and contact us to discuss any active engagements.
Material changes to these Terms will be communicated to active clients via email where reasonably practicable.
